Terms of Service

1. Introduction

Welcome to 130 Mode, operated by Booman Systems LLC ("Company", "we", "us", "our"). These Terms of Service ("Terms") govern your access to and use of our website, digital products, and subscription services. By purchasing or downloading content from this platform, you agree to be bound by these Terms.

2. Digital Goods & Refund Policy

ALL SALES ARE FINAL.

Due to the immediate, irrevocable nature of digital downloads (MP3s, WAVs, Zip files), we generally do not offer refunds once a transaction is completed and the download link has been generated.

  • No Refunds for "Change of Mind": Please preview tracks using the waveform player before purchasing.
  • Technical Issues: In the event of a corrupt file or broken link, we will provide a replacement file. This does not entitle you to a refund.
  • Subscription Charges: Refunds are not provided for partial subscription periods or if you fail to cancel before your renewal date.
  • Format Access: One purchase unlocks all available download formats shown for that release. Available formats vary by release and may include MP3, WAV, stems, or ZIP delivery where offered.
  • Preview Responsibility: Previews are provided before checkout so you can confirm the track, version, and intended use before purchase.

3. License of Use

When you purchase content from 130 Mode, you are purchasing a license to use the content, not ownership of the copyright.

A. Music Tracks (DJ Use)

You ARE permitted to:

  • Perform the music publicly (DJ sets, clubs, festivals).
  • Use the music in live streams (subject to platform copyright ID systems).
  • Burn to CD/USB for personal performance use.

You are STRICTLY PROHIBITED from:

  • Reselling, sharing, or redistributing the raw files.
  • Uploading the track to Spotify, Apple Music, or other DSPs as your own artist work.
  • Sublicensing the track to third parties.

B. Sound Kits (Producer Use)

Royalty-Free License:

You may use samples/loops in your own new musical compositions. You may release these new compositions commercially without paying additional royalties to Booman Systems LLC.

Prohibitions:

  • You may NOT repackage these sounds into new sample packs, drum kits, or virtual instruments.
  • You may NOT distribute the isolated sounds as standalone files.

4. Subscriptions & Billing

  • Auto-Renewal: Paid memberships, including Pro and Unlimited plans, renew automatically at the end of each billing cycle (monthly or yearly) via Stripe.
  • Cancellation: You may cancel your subscription at any time via your account settings. Cancellation must occur before your renewal date to avoid being charged for the next cycle.
  • Effect of Cancellation: Upon cancellation, your access to the VIP Vault and any unused credits will remain active until the end of your current paid period. After the period ends, access is immediately revoked.
  • Invite-Only VIP: Legacy or invite-only VIP access may include different access terms shown in your account or confirmed directly by Booman Systems LLC.

5. Taxes, Fees & Payment Processor

Prices shown on 130 Mode may not include sales tax, VAT, duties, or other taxes unless those amounts are shown during checkout. Stripe processes payments and may calculate or collect applicable taxes when tax collection is enabled or required for a transaction.

If a tax, fee, or duty is not collected at checkout but applies to your purchase, you are responsible for that amount where required by law. Any final tax configuration is controlled through the payment processor and applicable business tax settings.

6. Collaborator Splits

Certain releases may include collaborator revenue splits. Split payouts are processed transparently through Stripe Connect and are based on net revenue after Stripe payment processing fees unless a written agreement says otherwise.

  • Required Accounts: Collaborators must have a 130 Mode account and complete Stripe Connect onboarding before payouts can be sent.
  • No Hidden Platform Fee: 130 Mode does not apply an additional platform fee to collaborator splits unless that fee is clearly disclosed before release.
  • Held Payouts: If a collaborator has not completed Stripe onboarding or Stripe reports the account is not transfer-ready, that split may be held until the account is ready.
  • Refunds and Chargebacks: Refunds and chargebacks can reverse, offset, or hold collaborator split payouts tied to the disputed transaction.
  • Corrections: Booman Systems LLC may correct split records when needed to fix mistakes, resolve disputes, or honor the governing collaboration agreement.

7. Fraud, Chargebacks & Abuse

To protect customers, collaborators, and the catalog, we may review, delay, restrict, or block accounts connected to suspected fraud, account sharing, excessive failed payments, repeated disputes, or serial chargeback behavior. Accounts under active review may temporarily lose checkout, download, or VIP access until the issue is resolved.

8. Account Termination

Booman Systems LLC reserves the right to suspend or terminate your account and revoke access to purchased downloads without notice if we have reasonable grounds to believe you have violated these Terms. This includes, but is not limited to:

  • Sharing login credentials (account sharing).
  • Leaking exclusive "VIP Vault" content to public file-sharing sites.
  • Attempting to exploit the credit system or website infrastructure.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Maryland.
